Non Disclosure Agreement (NDA)

This Non-Disclosure Agreement (the "Agreement") is entered into by and between Signature Capital Ltd (hereinafter referred to as the "Disclosing Party") and [Counterparty's Full Legal Name] (hereinafter referred to as the "Receiving Party").

Purpose

The Parties intend to engage in discussions and exchanges of confidential information related to [Nature of the Project or Relationship]. To safeguard the interests of both Parties, this Agreement delineates the terms and conditions governing the use and disclosure of confidential information.

Confidential Information

Confidential Information includes any proprietary, non-public information, whether oral, written, or in any other form, disclosed by Signature Capital Ltd to the Receiving Party. This may encompass, but is not limited to, business plans, financial data, trade secrets, and any other information deemed confidential.

Obligations

The Receiving Party agrees to treat all Confidential Information with strict confidentiality, taking all reasonable precautions to prevent unauthorized disclosure or use. The Confidential Information shall not be disclosed to any third party without the prior written consent of Signature Capital Ltd.

Exceptions

The obligations of confidentiality shall not apply to information that is: (a) already known to the Receiving Party at the time of disclosure; (b) publicly available or becomes public knowledge through no fault of the Receiving Party; or (c) independently developed by the Receiving Party without reference to the Confidential Information.

Duration of Confidentiality

The obligations of confidentiality shall survive for a period of [Duration] from the date of disclosure or until the information is no longer considered confidential.

Return or Destruction

Upon Signature Capital Ltd's request or the termination of discussions, the Receiving Party shall promptly return or destroy all copies of the Confidential Information, confirming such action in writing.

No License or Ownership

Nothing in this Agreement shall be construed as granting any license or ownership rights to the Receiving Party in the Confidential Information, except as expressly stated herein.

Binding Effect

This Agreement shall be binding upon and inure to the benefit of Signature Capital Ltd and the Receiving Party, as well as their respective successors and assigns.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of laws principles.

Execution

This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

Acceptance

By continuing with discussions or accessing confidential information, the Receiving Party acknowledges acceptance of and agrees to be bound by the terms of this Non-Disclosure Agreement.
